**Ace Cloud ERP Terms and Conditions**

**1. Acceptance of Terms**

By accessing or using Ace Cloud ERP’s services, you agree to be bound by these Terms and Conditions. If you disagree with any part of the terms, then you may not access the service.

**2. Description of Service**

Ace Cloud ERP provides Acumatica service solutions, including implementation, customization, training, and support services.

**3. Fees and Payments**

Fees for services provided by Ace Cloud ERP are outlined in the respective service agreement. Payment terms and conditions are specified in the agreement as well. Failure to adhere to payment terms may result in suspension or termination of services.

**4. Intellectual Property**

Some content included in or made available through Ace Cloud ERP’s services, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, is the property of Ace Cloud ERP and protected by United States and international copyright laws.

**5. Confidentiality**

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the service engagement. This includes but is not limited to business processes, financial information, and trade secrets.

**6. Limitation of Liability**

Ace Cloud ERP shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses resulting from the use of or inability to use the service.

**7. Indemnification**

You agree to indemnify and hold harmless Ace Cloud ERP, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any and all losses, liabilities, expenses, damages, and costs, including reasonable attorneys’ fees, resulting from any violation of these terms and conditions or any activity related to your account.

**8. Termination**

Ace Cloud ERP reserves the right to terminate or suspend your access to the service at any time, with or without cause, and with or without notice.

**9. Governing Law**

These Terms and Conditions shall be governed by and construed in accordance with the laws of the state of Nevada, without regard to its conflict of law provisions.

**10. Changes to Terms**

Ace Cloud ERP reserves the right to update or modify these Terms and Conditions at any time without prior notice. Your continued use of the service after any such changes constitutes your acceptance of the new Terms and Conditions.
